MINUTES OF A BOARD OF DIRECTORS MEETING GREEN HILLS RURAL DEVELOPMENT, INC. GHRPC Office, Trenton, MO Thursday, December 28, 2023 9:30 am

1. Callto Order: The meeting was called to order at 9:45 a.m. by President Jack Hodge. A quorum was declared for the conduct of business.

2. The following Directors were in attendance:

3. The following Directors were absent:

4. The following staff was in attendance: Corinne Watts Debbie Pergande Lisa Colson

5. Approval of October 12,2023 Minutes for Board of Directors Meeting: After review of the October 12, 2023 Board Minutes, Stan Falke made a motion to approve the minutes and Josh Muck

seconded. Motion carried.

6. Financial Statements and Check Listing: After a brief review of the financial statements and check listing, Stan Falke made a motion to approve, and Danah Fowler seconded the motion.

Motion carried.

7. Old Business: None

8. New Business:

a. Election of Officers: Evan Emmerich made a motion to approve the current officers for 2 more years. Jack Hodge, President; Stan Falke, Vice President; and Danah Fowler, Secretary/Treasurer. Josh Muck seconded. Motion carried.

b. Loan Update: Debbie Pergande informed the Board that Flowers Family Processing

x made their first loan payment. Mow Betta will make their first payment in April.

c. Building Updates: Corinne informed the Board of the bid received on finishing the fascia, soffits and downspouts on the new building. Brief discussion about getting a bid on repairing outside of the old building.

Adjournment: Danah Fowler made a motion to adjourn, and Evan Emmerich seconded. Motion carried. The meeting was adjourned at 9:55 am.
