CITY OF SAUGATUCK COUNTY OF ALLEGAN STATE OF MICHIGAN RESOLUTION NO. 260622-C A RESOLUTION BY THE SAUGATUCK CITY COUNCIL TO AMEND THE TERMS OF THE CITY MANAGER’S EMPLOYMENT AGREEMENT Council Member____________________, offered the following resolution and moved for its adoption, seconded by Council Member____________________: RECITALS WHEREAS, consistent with Section 6.2 of its Charter, the City of Saugatuck employs the City Manager. The terms of the City Manager’s employment are set by Charter and an Employment Agreement approved at the June 10, 2024 City Council meeting and updated at the July 14, 2025 City Council meeting; and WHEREAS, the City Council engaged in the second annual performance evaluation of the City Manager and pursuant to said Employment Agreement determined to provide the City Manager with a one-time lump-sum performance bonus of Three-Thousand Dollar ($3,000.00); and WHEREAS, the City Manager and City Council, if in agreement, must approve any changes to the Employment Agreement in writing via approved Resolution, and executed in the same fashion as the Employment Agreement; and WHEREAS, the City Manager and City Council have reviewed Exhibit A, which incorporates all such changes. RESOLUTION NOW, THEREFORE, BE IT RESOLVED, by the City Council of the City of Saugatuck, the updated City Manager’s Employment Agreement, included at Exhibit A, is approved. CITY MANAGER EMPLOYMENT AGREEMENT AMENDMENT This Amendment to the Employment Agreement (the “Amendment”) is entered into effective the _____ day of ________________, 2026, between the City of Saugatuck (the “Employer”) and Ryan Cummins (“Employee”) (collectively, the “Parties”), both of whom understand as follows: WHEREAS, the Parties entered into an Employment Agreement on June 10, 2024, and updated on July 14, 2025; WHEREAS, the Parties agree to amend Section 3 of the Employment Agreement which addresses Employee’s salary; and WHEREAS, the Parties agree to amend Section 3 to reflect a one-time lump sum performance bonus pursuant Employee’s performance evaluation. NOW, THEREFORE, the Parties agree to amend the Employment Agreement as follows: 1. Section 3 is amended to include the following: No later than thirty (30) days after the effective date of this Amendment, the City shall pay Employee a one-time lump sum performance bonus of Three Thousand Dollar ($3,000.00) pursuant to the City Council’s performance evaluation process. 2. All other provisions of the Employment Agreement shall remain in full force and effect. ATTEST:
